EKOBOT AB (publ) (”Ekobot” or the ”Company”) issued during the second quarter of 2022, in connection with the Company’s rights issue of units that was announced on March 21, 2022, 580,390 warrants of series TO2 (the ”Warrants”). The subscription price has been set at SEK 2.57 per share and the exercise period begins today, October 3, 2022.
Each Warrant gives the right to subscribe for one (1) newly issued share in the Company at a price of SEK 2.57 per share during the exercise period that runs from today, October 3, 2022, through October 14, 2022. The subscription price for the exercise of The warrants correspond to 75 percent of the volume-weighted average price paid in the Company’s share on the Nasdaq First North Growth Market during the measurement period from and including September 19, 2022 to and including September 30, 2022, but the lowest is the share’s quota value and the highest is SEK 9.60 per share. The volume-weighted average paid price during the period amounted to approximately SEK 3.43, the subscription price has thus been set at SEK 2.57 per share.

Ekobot communicated on June 20, 2022 that the Warrants do not meet the dispersion requirement required for listing and have therefore not been admitted to trading on the Nasdaq First North Growth Market.

Subscription and payment with the support of Subscription options must take place in accordance with instructions from the respective administrator. For more information and further instructions regarding the use of Subscription Options, please contact your administrator in good time.
Directly registered Warrants (VP account)
Subscription must be made by payment according to the instructions on the registration form. The registration form with instructions for payment will be available on the Company’s website, www.ekobot.se and Aqurat Fondkommission AB’s website, www.aqurat.se.

Share capital and dilution
At full utilization, the share capital increases by SEK 203,136.50, from SEK 1,237,407.50, to SEK 1,440,544.00. The number of shares increases at full utilization by 580,390 shares, in total the number of shares increases from 3,535,450 shares to 4,115,840 shares. The dilution at full utilization amounts to approximately 14.1 percent.
Note that Subscription options that are not used, or sold, by October 14, 2022 at the latest expire worthless. In order for your Warrants not to expire, it is required that you actively subscribe for shares or alternatively sell your Warrants. Please note that some trustees may close their registration earlier than 14 October 2022.
